1. Acceptance of Terms
By accessing or using the website solynx.solutions and the Solynx software-as-a-service platform (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use the Service.
These Terms are a binding legal agreement between you ("User," "Customer," or "you") and Solynx LLC ("Solynx," "we," "us," or "our"), a limited liability company organized under the laws of the State of California.
2. Description of Service
Solynx provides a cloud-based automation platform that allows users to connect various third-party software applications ("Integrations") to automate workflows, synchronize data, and enhance business processes.
3. Accounts and Registration
- Account Security: You are responsible for maintaining the confidentiality of your login credentials. You are fully responsible for all activities that occur under your account.
- Accuracy: You agree to provide accurate, current, and complete information during the registration process.
- Eligibility: You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement.
4. Subscription and Billing
- Subscription Plans: Solynx offers various subscription tiers. You agree to pay the fees associated with your selected plan.
- Billing Cycle: Service is billed in advance on a monthly or annual basis. Your subscription will automatically renew at the end of each billing cycle unless you cancel at least 24 hours before the renewal date.
- No Refunds: All fees are non-refundable, except as required by law. We do not provide refunds for partial months of service.
- Price Changes: Solynx reserves the right to change pricing upon 30 days' notice. Continued use of the Service after the price change constitutes your agreement to pay the new amount.
5. Third-Party Services and Integrations
- Reliance on Third Parties: The Solynx Service relies on the availability and API access of third-party applications (e.g., CRMs, email providers, AI tools). We do not control these third parties.
- No Liability for Third-Party Changes: If a third-party application changes its API, restricts access, or discontinues service, Solynx may be unable to provide certain automations. We are not liable for any interruptions or data loss caused by third-party changes.
- Your Relationship with Third Parties: You agree that you are solely responsible for complying with the Terms of Service of any third-party application you connect to Solynx.
6. Acceptable Use Policy
You agree not to use the Service to:
- Send unsolicited communications (spam) in violation of CAN-SPAM or GDPR
- Process or store illegal content, malware, or viruses
- Attempt to reverse engineer, decompile, or hack the Solynx platform
- Overload our infrastructure or exceed API rate limits imposed by us or third-party integrations
- Use the Service for any high-risk activities where failure could lead to death or physical injury
7. Intellectual Property
- Solynx Property: We retain all rights, title, and interest in the Service, including our code, logo, designs, and proprietary technology. The "Solynx" name and logo are trademarks of Solynx LLC.
- User Data: You retain all rights to the data, files, and content ("User Data") you upload or process through Solynx. You grant us a limited license to process this data solely to provide the Service to you.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SOLYNX DOES NOT WARRANT THAT: (A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; OR (C) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SOLYNX LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL.
IN NO EVENT SHALL SOLYNX'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO SOLYNX DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM.
10. Indemnification
You agree to defend, indemnify, and hold harmless Solynx LLC and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with:
- Your access to or use of the Service
- Your violation of these Terms
- Your violation of any third-party right, including intellectual property or privacy rights
- The content or data you process through the Service
11. Termination
- By You: You may cancel your account at any time through your account dashboard.
- By Us: We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
12. Governing Law and Dispute Resolution
- Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
- Arbitration: Any dispute arising from these Terms shall be resolved through binding arbitration in San Joaquin County, California, in accordance with the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action.
13. Changes to Terms
We reserve the right to modify these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
